Terms of Service

1. Agreement to Terms

By accessing or using Serban services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

"Serban" refers to the AI-powered customer communication service operated by Serban and its affiliates.

2. Description of Services

Serban provides AI-powered customer communication agents that handle conversations across multiple channels including phone, SMS, email, web chat, WhatsApp, Facebook Messenger, Instagram, and TikTok on behalf of your business.

The Services include: AI agent configuration and deployment, multi-channel conversation handling, lead capture and appointment scheduling, conversation analytics and reporting, knowledge base training, and human escalation capabilities.

3. Account Registration

To use the Services, you must provide accurate and complete registration information, maintain the security of your account credentials, and accept responsibility for all activity under your account. You must be at least 18 years old and have the authority to bind your business to these Terms.

4. Promotional Offers

From time to time, Serban may offer promotional pricing or early-adopter programs. The specific terms of any such offer will be communicated separately and form part of your service agreement. After any promotional period ends, standard pricing applies. You may cancel at any time.

5. Acceptable Use

You agree not to use the Services to violate any laws, transmit harmful content, impersonate others, send spam, interfere with the Services, or use them for any illegal purpose.

6. AI Service Disclaimers

The AI agent is software and may occasionally produce incorrect responses. Serban is not liable for decisions made based on AI-generated responses. You are responsible for reviewing AI performance. The AI is not a replacement for professional advice (legal, medical, financial). Do not rely on the AI for emergency services or life-critical situations.

7. Your Data

You retain ownership of all Training Data you provide and all conversation data. Serban may use anonymized, aggregated data to improve the Services. We will not share your identifiable data with third parties except as necessary to provide the Services. You may request a data export at any time. Upon termination, data is available for export for 30 days.

8. Third-Party Services

The Services integrate with OpenAI (AI models), Twilio (phone/SMS), ManyChat (WhatsApp/Facebook/Instagram/TikTok), and Chatwoot (web chat). Your use of these integrations is subject to their respective terms. Serban is not responsible for the availability or terms of third-party services.

9. Pricing and Payment

Pricing is as agreed in your service agreement. Payment is due monthly in advance. Prices may change with 30 days' notice. Third-party costs (Twilio per-minute charges, ManyChat subscription, etc.) are separate.

10. Limitation of Liability

To the maximum extent permitted by law, Serban's total liability is limited to the fees you paid in the 3 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost data, or business interruption.

11. Termination

Either party may terminate with 30 days' written notice. We may suspend immediately for Terms violations. Upon termination, your data will be available for export for 30 days.

12. Intellectual Property

Serban retains all rights to the platform and technology. You retain all rights to your Training Data and business content. The HAI Methodology and BOB Platform are open source.

13. Changes to Terms

We may update these Terms with 30 days' notice. Continued use after changes constitutes acceptance. Material changes will be communicated via email.

14. Governing Law

These Terms are governed by the laws of England and Wales, United Kingdom, where SERBAN-EU-COM LLP is registered.
